Terms of Trade

Terms and Conditions of Trade – CAW Hydraulics Ltd

Effective Date: 1st April 2026

1. Definitions

CAW Hydraulics Ltd (“CAW”, “we”, “us”) means CAW Hydraulics Ltd.
Customer (“you”) means the person or entity engaging CAW for services or supply of goods.
Goods means any products, parts, or equipment supplied.
Services means all labour, repair, fabrication, installation, or related work carried out by CAW.

2. Acceptance

By requesting a quote, placing an order, or engaging CAW, you agree to these Terms and Conditions.

3. Quotes and Pricing

  • Quotes are valid for 30 days unless otherwise stated.

  • Prices are exclusive of GST unless specified.

  • Quotes are based on information available at the time and may be adjusted if:

    • Scope changes

    • Unforeseen issues arise

    • Materials or supplier costs increase

4. Variations

Any variation to the agreed scope of work:

  • Must be approved by the Customer (verbally or in writing)

  • Will be charged at standard rates unless otherwise agreed

5. Payment Terms

  • New customers are subject to immediate payment terms until relationship is established.

  • Payment is due 20 days from 1st of month following invoice date unless otherwise agreed.

  • We may require a deposit or progress payments for larger jobs.

  • Late payments may incur:

    • Interest at [e.g. 2.5% per month]

    • Debt collection and recovery costs

6. Supply of Goods

  • Risk in Goods passes to the Customer upon delivery or collection.

  • Title (ownership) remains with CAW until full payment is received.

7. Delivery and Timeframes

  • Delivery or completion dates are estimates only.

  • CAW is not liable for delays caused by:

    • Supplier shortages

    • Weather conditions

    • Site access issues

    • Events outside our control

8. Customer Responsibilities

The Customer must:

  • Provide safe and reasonable access to the worksite

  • Ensure site conditions comply with health and safety requirements

  • Provide accurate information about the job

We may suspend work if conditions are unsafe or unsuitable.

9. Warranties and Guarantees

Consumer Guarantees

Where the Customer is a consumer under the Consumer Guarantees Act 1993:

  • Nothing in these terms limits your rights under that Act.

Business Customers

Where Goods or Services are supplied for business purposes:

  • The Consumer Guarantees Act 1993 is excluded to the maximum extent permitted by law.

Workmanship

  • CAW warrants that services will be carried out with reasonable care and skill.

  • Warranty does not cover:

    • Normal wear and tear

    • Misuse or improper maintenance

    • Work altered by others

10. Liability

To the maximum extent permitted by law:

  • CAW is not liable for:

    • Indirect or consequential loss

    • Loss of profits, revenue, or business

  • Our total liability is limited to:

    • The value of the Goods or Services supplied, or

    • The cost of remedying the issue

11. Health and Safety

  • CAW complies with the Health and Safety at Work Act 2015.

  • Customers must ensure their site is safe for our staff and contractors.

  • We reserve the right to stop work if safety risks are identified.

12. Cancellation

  • Orders cancelled after acceptance may incur:

    • Costs for materials already purchased

    • Labour already undertaken

    • A reasonable cancellation fee

13. Default

If the Customer:

  • Fails to pay on time, or

  • Breaches these terms

CAW may:

  • Suspend or stop work

  • Cancel supply

  • Recover all costs associated with enforcement

14. Privacy

We collect and use personal information in accordance with our Privacy Policy and the Privacy Act 2020.

15. Intellectual Property

All drawings, designs, and documentation remain the property of CAW unless otherwise agreed in writing.

16. Force Majeure

CAW is not liable for failure or delay due to events beyond reasonable control, including:

  • Natural disasters

  • Supply chain disruptions

  • Labour shortages

17. Disputes

  • Parties agree to attempt to resolve disputes in good faith.

  • If unresolved, disputes may be referred to mediation or the Disputes Tribunal where applicable.

18. Governing Law

These Terms and Conditions are governed by the laws of New Zealand.

19. General

  • If any provision is unenforceable, the remaining terms continue in effect.

  • These Terms may be updated from time to time.

20.  Limitation for Installed Components

 

CAW does not accept liability for failure of customer-supplied parts or components.

21. Call-Out & Mileage Clause

 

Standard call-out fee + mileage 

22. Freight Clause

 

Freight, handling, and “Freight Adjustment Factor (FAF)” will passed through and is subject to change.
